These Employer Portal Terms of Use («Portal Terms») govern your use of the Grow Therapy Employer Portal («Portal»), which provides aggregated program metrics for the employee assistance benefit offered by your employer («Employer»). By activating your account, you agree to these Portal Terms.
These Portal Terms supplement the Grow Therapy Terms of Service and Privacy Notice. Any capitalized term not defined here has the definition stated in the Terms of Service. If there is a conflict, these Portal Terms control your use of the Portal.
1. Account Access and Security
Your Portal account is personal to you and may not be shared, transferred, or used by any other individual. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs on your account. You must:
- Keep your password secure and not share it with anyone
- Enable and maintain multi-factor authentication as required by the Portal
- Promptly notify Grow Therapy at portal-security@growtherapy.com if you suspect unauthorized access to your account.
For security and compliance purposes, Grow Therapy may monitor and log Portal access, including login activity and data viewed. Grow Therapy may suspend or revoke your access at any time, including upon request from your Employer or upon termination of the agreement between Grow Therapy and your Employer.
2. Permitted Use
You may access the Portal solely to review aggregated, de-identified program metrics related to your Employer’s employee assistance benefit administered by Grow Therapy.
Specifically, you agree you will not:
- Attempt to re-identify any individual, including by combining Portal metrics with other data sets in a manner that could identify an individual
- Attempt to circumvent the Portal’s minimum reporting thresholds, which suppress data segments that fall below a certain size to protect individual privacy
- Use Portal data for any purpose other than evaluating benefit program performance on behalf of your Employer as permitted by your Employer’s agreement with Grow Therapy
- Use Portal data to make employment decisions regarding any individual, which you acknowledge is expressly prohibited
- Share Portal data externally, except as permitted under your Employer’s agreement with Grow Therapy
- Reverse engineer, scrape, or otherwise extract data from the Portal by automated means
- Retain any downloaded Portal data after your access has been revoked
3. Confidentiality
All data and metrics accessible through the Portal are confidential and proprietary to Grow Therapy. You agree to treat Portal data as Grow Therapy’s confidential information with at least the same degree of care you apply to your Employer’s own confidential information and use it only as expressly permitted by these Portal Terms.
4. Ownership and License
The Portal, including its design, features, and all data, metrics, and content made available through it, is owned by Grow Therapy. Nothing in these Portal Terms transfers any ownership interest in the Portal or its content to you or your Employer.
Your access to the Portal is a limited, non-exclusive, non-transferable license to view program metrics solely as permitted under these Portal Terms. This license does not include the right to reproduce, modify, distribute, or create derivative works from any Portal content, except as expressly permitted in Section 2. If you share feedback, suggestions, or ideas, Grow Therapy may freely use your feedback to improve its services without any obligation to you.
The specific metrics, data visualizations, and features available through the Portal may vary by Employer and may change over time. Grow Therapy reserves the right to add, modify, or remove Portal features or data displays at any time.
5. No Access to Protected Health Information
The Portal does not provide access to individually identifiable health information or protected health information («PHI») as defined under HIPAA. If you believe you have inadvertently accessed PHI through the Portal, submit a hotline report and do not continue to access, use, or disclose that information.
6. No Warranties; Limitation of Liability
The Portal is provided «as is.» Data displayed in the Portal is derived from aggregated records and may be subject to a processing delay. Grow Therapy does not warrant the accuracy, completeness, or timeliness of any data or metrics in the Portal, or that data will be available without interruption. To the fullest extent permitted by law, Grow Therapy’s liability in connection with your use of the Portal is limited to the terms set forth in the agreement between Grow Therapy and your Employer, or if none, the Terms of Service.
7. Governing Law
These Portal Terms are governed by the laws of New York, without regard to conflict of law principles. Any disputes arising out of these Portal Terms are subject to the dispute resolution provisions in the agreement between Grow Therapy and your Employer, or if none, the Terms of Service.
8. Changes to These Terms
Grow Therapy may update these Portal Terms from time to time, and will notify you of material changes by email or via the Portal. Continued use of the Portal after the effective date of any update constitutes acceptance of the revised Portal Terms.
